RISK DISCLOSURE STATEMENT

This Risk Disclosure Statement (this “Statement”) applies to the electronic trading platform (including any applicable mobile applications and websites used to access the same) (collectively the “Platform”) provided by Freedx, S.A. de C.V. (the “Freedx”, “we,” “us” or “our”), and shall be deemed part of the General Terms and Conditions between you, as an individual user (“you”, “your”) and Freedx (the “Terms”). All capitalized terms that are used but not otherwise defined herein shall have the meanings ascribed to them in the Terms.
By accessing or using the Platform and the Site, you represent and warrant that you are fully aware of and accept the risks associated with transactions involving Digital Assets or the use of the Platform.
You agree and understand that you are solely responsible for determining the nature, potential value, suitability, and appropriateness of these risks for yourself, and that Freedx does not give advice or recommendations regarding any Digital Asset, including the suitability and appropriateness of, and investment strategies for, any Digital Asset.
You agree and understand that you access and use the Platform and the Site at your own risk. The information presented in this Statement does not disclose all of the risks associated with Digital Assets and using the Platform. You should, therefore, carefully consider whether such use is suitable for you in light of your circumstances and financial resources. You should be aware that you may sustain a total loss of the Digital Assets in your Account, and that under certain market conditions, you may find it difficult or impossible to liquidate a position.
1. General Risks Relating to Digital Assets
1.1 The price and value of any investment in Digital Asset products and the income, if any, from them, can fluctuate and may fall against your interest. An individual Digital Asset product may experience downward price movements and may, under some circumstances, even become valueless. An inherent risk of trading or investing in Digital Asset products is that losses may be incurred, rather than profits made, as a result of buying and selling such products.
1.2 Digital Assets are not legal tender and are not backed by any government. Purchasing Digital Assets comes with a number of risks, including volatile market price swings, market manipulation, and cybersecurity risks. Traders place their trust in a digital, decentralized and partially anonymous system that relies on peer-to-peer networking and cryptography to maintain its integrity.
1.3 Trading of Digital Assets can lead to large and immediate financial losses. Transactions in Digital Assets may be irreversible, and, accordingly, losses due to fraudulent or accidental transactions may not be recoverable.
1.4 Some Digital Asset transactions shall be deemed to be made when recorded on a public ledger, which is not necessarily the date or time that a transaction may have been initiated. You may suffer losses due to the fact that a Digital Asset transaction is not carried out at the desired time.
1.5 The value of Digital Assets is derived by market forces of supply and demand, and Digital Assets are more volatile than traditional currencies. The value of Digital Assets may be derived from the continued willingness of market participants to exchange fiat currency or Digital Assets for Digital Assets, which may result in the potential for permanent and total loss of value of a particular Digital Asset should the market for that Digital Asset disappear.
1.6 The nature of Digital Assets may lead to an increased risk of fraud or cyber attack, and may mean that technological difficulties experienced by the Platform may prevent the access to or use of your Digital Assets. Additionally, malicious persons may target you in an attempt to steal any Digital Asset you may hold, or to claim any Digital Asset you may have purchased. You are alone responsible for protecting you against such actions.
1.7 Certain market conditions, including but not limited to a drop in the price of a specific Digital Asset, government crakdowns, or unusual trading activity, may result in difficulty or impossibility in liquidating a position quickly at a reasonable price.
1.8 A Digital Asset may be modified or may stop functioning as intended due to changes in its underlying technology, applications built on that technology, or external attacks. Such events may include, without limitation, forks, rollbacks, airdrops, or bootsraps. These events may reduce the value of an existing Digital Asset holding and/or transfer part of its value to another Digital Asset. Freedx reserves the right, at its sole discretion, to support or decline support for any such changes. In addition, a Digital Asset may be canceled, lost, double-spent, or otherwise lose all or substantially all of its value as a result of forks, rolbacks, attacks, or operational failures.
1.9 Deposits into your Account are not considered deposits under the applicable laws, rules, or regulations in your jurisdiction. Consequently, Digital Assets in your Account are not subject to deposit insurance protection.
2. Risks Relating to Derivatives and Leveraged Trading
2.1 Digital Asset Derivatives carry a high degree of risk as they often involve gearing or leverage, so that a relatively small movement in the price of the underlying Digital Asset results in a much larger movement, favourable or unfavourable, in the price of the product. If the direction of the trade is opposite to the fluctuation of the market, it will cause a large loss. Depending on the extent of the loss, investors need to add margins or reduce positions, otherwise, their positions may be forced to liquidate, and investors must bear all losses caused thereby.
2.2 By using the Platform, you acknowledge that you understand and accept the risks associated with Digital Asset Derivatives, including, but not limited to, exposure to:
(i) market risk as a result of a position in Digital Asset Derivatives moving against you. For example, if you hold a long position and the Digital Asset price declines, or you hold a short position and the Digital Asset price increases, you may lose all your investment or deposit.
(ii) platform parameters risk, where you suffer a loss because we had to change certain parameters on the Platform, such as the margin requirements;
(iii) liquidity risk, where you are unable to close out a position because there is no demand to take the other side of that trade;
(iv) credit risk, where one or more of your counterparties have deposited insufficient collateral into their Account(s) such that you may not receive some or all of the profits that you may be entitled to receive;
(v) operational risk, where you suffer a loss because of the malfunction of the Platform, which may result from scheduled or unscheduled downtimes, database failure, failure or malfunction of the API, matching system failure, Digital Assets transfer or storage failure, hacker attacks or other failure or malfunction;
(vi) regulatory risk, where you suffer a loss because we are required to restrict or terminate all or part of our services to you in response to regulatory action.
(vii) the risk that your profitable leveraged position may be automatically partially or fully closed by the Auto-Deleveraging (ADL) mechanism in order to manage losses arising from liquidated positions of other Users.
2.3 The risk of loss in financing a transaction by deposit of collateral may be significant. You may sustain losses in excess of your Digital Assets deposited as collateral with Freedx. You may be called upon at short notice to make additional margin deposits or interest payments. If the required margin deposit or interest payment is not made within the prescribed time, your collateral or positions may be liquidated by Freedx at a loss without prior notification to you. You should therefore carefully consider whether such a financing arrangement is suitable in light of your own financial position and investment objectives.
2.4 You should be aware that Freedx is entitled, but has no obligation, to issue margin calls on you in order to meet any margin deficiencies. We typically do not issue margin calls and we will not credit your Account or increase your margin to meet any margin deficiencies. Freedx will instead liquidate positions in your Account in order to satisfy margin requirements without prior notice to you and without giving you the opportunity to choose the positions to be liquidated, the timing, or the order of the liquidation.
3. Other Risks
3.1 Legislative and regulatory changes or actions at the state, federal, or international level may adversely affect the use, transfer, exchange, and value of Digital Assets. We recommend that you obtain legal, tax and financial advice and that you continue to monitor the legal and regulatory position in respect of your Digital Assets and Digital Asset transactions.
3.2 The Platform or the Site may become unavailable due to changes of applicable laws and you may suffer loss or incur liabilities due to the termination or suspension of the
Platform or any or all of the Accounts.
3.3 There are substantial risks in allowing another person to trade or operate an Account, and it is possible that instructions could be given by persons who are not properly authorized. You accept all of the risks of such an operation and irrevocably release us from all liabilities arising out of or in connection with such instructions.
3.4 The Platform is supported by computer-based component systems for the order-routing, execution, matching, registration or clearing of trades. As with all facilities and computer systems, customers will be exposed to risks associated with the systems including the failure of hardware and software. The result of any system failure may be that your order is either not executed according to instructions or is not executed at all. You should also be aware that the Internet is not a completely reliable transmission medium and there may be delays in service provisions.
3.5 You should note in particular that the proceeds from the sale of Digital Assets and other income may be or may become subject to tax, levies, duties or other fees or charges imposed by the authorities in that jurisdiction, including taxation levied by withholding at source. Tax law and practice regarding Digital Assets in certain countries may not be clearly established. It is therefore possible that the current interpretation of the law or understanding of practice may change, or that the law may be changed with retrospective effect. If you are unsure about the tax implications of your Digital Asset transactions, you should seek independent professional advice before carrying out a Digital Asset transaction.
